INVL Technology, a company that invests in IT businesses, has bought back 543,571 of its own shares, for which it will pay nearly EUR 3 million (excluding brokerage fees). This is the company’s largest share buy-back to date. The shares were repurchased at a fixed price of EUR 5.5188, which corresponds to the company’s last published net asset value per share.
During the buy-back, which took place from 9 to 28 October, up to 543,596 shares (4.5% of the share capital) could be acquired. Shareholders offered 551,694 shares. Up to 4.538% of the shares held by each participating shareholder were bought back, whilst shares offered above this threshold were repurchased on a pro-rata basis. Settlement for the repurchased shares will take place on 30 October 2026.
The repurchased shares will be cancelled, reducing the company’s share capital accordingly and thereby increasing the value of each remaining share.
INVL Technology owns the cyber security company NRD Cyber Security, the GovTech company NRD Companies, and the Baltic IT company Novian.
INVL Technology, managed by the leading alternative asset manager in the Baltics, INVL Asset Management, is a closed-end investment company. Its investments must be realised no later than mid-July 2028, and the proceeds distributed to shareholders.
